Terms of Service — Vertex Meet

1. General

These Terms of Service (“Terms”) govern your use of the Vertex Meet iOS app (“App”). The App is developed and owned by OÜ Vertex Investment, Estonia (“Developer”).

By using the App you agree to these Terms. If you do not agree, do not use the App.

2. Service description

Vertex Meet is software that allows the user to:

• Record audio from meetings on iPhone
• Transcribe audio via the OpenAI Whisper API
• Generate structured meeting minutes via the OpenAI GPT API
• Export minutes as PDF, Word, and text files
• Manage action items with Apple Reminders integration

3. Subscriptions and payments

Plans

• Free (€0) — all basic features with your own OpenAI API key
• Pro (€6.99/month or €54.99/year) — all premium features, with your own OpenAI key
• Cloud (€9.99/month or €79/year) — all premium features, 300 minutes of service included per month, no OpenAI key required
• Cloud Plus (€19.99/month or €159/year) — all premium features, 1500 minutes of service included per month

Billing

• Subscriptions are processed by the Apple App Store
• Payments go through your Apple ID, not directly to the Developer
• Subscriptions renew automatically at the end of each period unless cancelled
• Cancellation must happen at least 24 hours before period end

Refunds

The refund policy follows Apple App Store rules. Direct refund requests to Apple. The Developer does not process refunds — all money moves through Apple.

Cloud plan quota

• 300 minutes of transcription per month (Cloud) or 1500 minutes (Cloud Plus)
• Monthly quota does not carry over to the next month
• Extra capacity is available as one-time packs:
  • 100 min — €4.99
  • 300 min — €11.99
  • 600 min — €19.99
  • 1500 min — €34.99
• Extra minutes do not expire within the same month, but are forfeited when the plan is cancelled

4. User responsibility

Acceptable use

You agree to:

• Only record meetings for which you have permission (in Estonia and most business contexts, informing other participants is typically required)
• Not use the App for illegal activity
• Not attempt to reverse engineer the App
• Not share your OpenAI API key with other persons through the App

Recording legality

You are solely responsible for ensuring that recording meetings is legal with respect to other participants in your jurisdiction.

In Estonia the principle is that you may record conversations you are participating in, but informing other participants is recommended. Additional restrictions may apply in the employer context.

The Developer is not responsible for the content of audio recorded by the user.

OpenAI API usage

When using the Free or Pro plan:

• Your OpenAI account is your responsibility
• OpenAI API costs are charged directly to your OpenAI account
• Your content (audio, text) is sent to OpenAI per their policy

5. Intellectual property

The App software, design, and logo are the property of the Developer. Content you create (recordings, minutes) remains your property.

6. Limitation of liability

The Developer is not liable for:

• AI misinterpretation of words, names, or data
• OpenAI API outages or errors
• Apple App Store transaction issues
• Data loss (regular exports are recommended)
• Any indirect damages resulting from use of the App

The App is delivered “as is” without warranties.

7. Termination

By you

• Go to iPhone Settings → Apple ID → Subscriptions → Vertex Meet → Cancel
• Service continues until the end of the current period
• After the period ends, the account reverts to the Free plan (data is preserved)

By the Developer

We reserve the right to block accounts that violate these Terms.

8. Changes

We may update these Terms from time to time. Material changes will be announced in the App. Continued use after a change means acceptance of the updated Terms.

9. Governing law and jurisdiction

These Terms are governed by Estonian law. Disputes are resolved in Estonian courts.

EU consumers have the right to use the ODR platform: ec.europa.eu/consumers/odr.
